Terms and Conditions

1. Introduction

1.1Edmento is an online marketplace that helps Students find Tutors, lets Tutors promote their services, and allows Students to book and pay for Lessons. These Terms apply to everyone who uses the Platform. Clauses marked "(Tutors)" and all of clause 5 apply only to Tutors.

1.2The Platform is owned and operated by Edmento, registered in England and Wales under company number [Company Registration Number], with its registered office at Spaces The Mailbox, 3 Wharfside Street, Birmingham, B1 1RD. You can contact us at info@edmento.org or on +44 7858 932759.

1.3You can browse the Platform without an account, but you must register as a Student or Tutor to book or offer Lessons.

1.4By registering or using the Platform, you agree to these Terms, which form a legally binding agreement. Please save or print a copy for your records. If you do not agree, do not use the Platform.

1.5(Tutors) If you accept these Terms on behalf of a company or organisation, you confirm you have authority to bind it.

1.6Capitalised words are defined in clause 18.

2. What Edmento does

Edmento will:

2.1let Tutors advertise their services and let Students book and pay for Lessons;

2.2use reasonable efforts to keep the Platform, messaging, booking system and Online Classroom available and working, although occasional downtime for maintenance or technical issues may occur;

2.3give advance notice of planned maintenance where possible;

2.4take reasonable steps to keep the Platform free of viruses and malicious code;

2.5take reasonable steps to verify each Tutor's identity and background check before their profile goes live (Students should still use their own judgement, and a parent should never leave a child alone with a Tutor);

2.6decide when a Tutor profile is complete enough to be published;

2.7notify Students and Tutors of new, confirmed and cancelled Bookings through the Platform and by email, unless you have switched email notifications off;

2.8aim to process Student payments and Tutor payouts promptly, usually within 9 days of a Lesson where there is no Complaint or Failed Payment;

2.9handle Complaints, refunds and Failed Payments promptly and in line with these Terms;

2.10protect users' information as described in our Privacy Policy; and

2.11monitor messages and content on the Platform to help users connect safely and to prevent misuse.

3. Responsibilities of all users

3.1You are responsible for your own safety and security when using the Platform, online and offline.

3.2You are responsible for everything you post or send, and must not share anything defamatory, offensive or illegal. Report any such content you see to us straight away.

3.3Information on the Platform is provided by users. We cannot guarantee it is complete, accurate or current, so please use your own judgement.

3.4Keep your password secure and tell us immediately if you think it has been compromised. You are responsible for activity on your account until you notify us.

3.5You must not use the Platform to arrange dealings with other users outside Edmento, or to promote any other business.

3.6You agree to our Privacy Policy and Cookie Policy.

3.7If we reasonably believe you have broken these Terms, we may suspend or close your account immediately and cancel any existing Bookings.

4. Student responsibilities

4.1Edmento is responsible only for its own acts and omissions, not those of Students or Tutors.

4.2You must be 18 or over to book Lessons for yourself. Learners under 18 must be registered by a parent or legal guardian who consents to the tuition. We are not responsible for disagreements between a minor and their parent or guardian.

4.3Keep your personal and contact details accurate and up to date. We will contact you mainly by email.

4.4For a first Lesson with a new Tutor, you must confirm the Booking at least 12 hours before it starts if booked more than 24 hours ahead, or at least 2 hours before it starts if booked within 24 hours.

4.5To confirm your first Booking, you must add valid payment details.

4.6Confirming your first Booking with a Tutor authorises that Tutor to make further Bookings for you, and authorises Edmento to charge the Service Fee and, as the Tutor's agent, the Tutor Fee for each Lesson. Later Bookings made by the Tutor are confirmed automatically.

4.7Once a Booking is confirmed, you have a direct contract with the Tutor for the Lessons. Edmento is not liable for how the Tutor delivers them.

4.8While you have confirmed Bookings, keep a valid card on file with enough funds to cover them.

4.9You agree not to bypass Edmento with any Tutor you found through the Platform, whether at the time of booking, during any period of Bookings, or for six months after your most recent Booking with that Tutor (the "Student Restriction Period"). All Lessons with that Tutor during this period must be booked through Edmento, unless we have barred you or the Tutor.

4.10Give your Tutor the information needed for each Lesson, including the correct address. For home Lessons, provide a suitable place to study.

4.11Although we check Tutors before they go live, you remain responsible for satisfying yourself about a Tutor's credentials, experience, references, qualifications and insurance.

4.12Check that Bookings your Tutor makes for you are correct. You will be notified of them by email (unless switched off) and on the Platform.

4.13Make sure your device, internet connection and software can access the Online Classroom before an Online Lesson. We will not refund Lessons you cannot join for technical reasons on your side, unless the problem was caused by the Platform failing.

4.14You must not record Lessons by any other means, or store or share Edmento recordings, except as the Platform allows.

4.15Registering does not oblige you to book any Lessons, and you can stop using Edmento at any time after paying for Lessons already taken.

4.16Nothing in these Terms affects your statutory rights as a consumer.

5. Tutor status and responsibilities

5.1Tutors are independent and self-employed. They are not employees, workers or agents of Edmento and are responsible for their own conduct, tax and insurance.

5.2Tutors must be 18 or over and legally entitled to work on a self-employed basis in the UK.

5.3Before teaching anyone under 18, Tutors must make sure the learner is represented by a consenting parent or guardian.

5.4Tutors must keep their profile and personal information accurate and not misleading, and update it promptly.

5.5Tutors must tell Edmento about any criminal convictions or cautions, including any received after registering, for as long as they have an account.

5.6Every Tutor must hold a valid Background Check (see clause 18) for as long as they are registered, and provide a copy on request.

5.7Tutors decide whom they teach, must take sensible precautions for their own safety, and must hold any insurance appropriate to their work.

5.8Tutors set their own hourly rate (the "Tutor Fee"). It must be no higher on Edmento than the rate they charge students elsewhere.

5.9Tutors are ranked in search results using factors such as profile quality, Student ratings, response speed, repeat Bookings and Lessons taught. Edmento may change the ranking method at any time.

5.10Tutors must respond to messages and make Bookings promptly.

5.11Every meeting with a Student found through Edmento, including trials, consultations and Lessons, must be booked on the Platform. Tutors must not solicit Students away from Edmento at the time of booking, during any period of Bookings, or for six months after their most recent Booking with that Student (the "Tutor Restriction Period").

5.12Tutors must only book Lessons their Students have agreed to. If a Tutor books Lessons they do not deliver, they must refund the Tutor Fee received.

5.13If a Student does not arrive, the Tutor must try to contact them, keep evidence of doing so, and wait at least 15 minutes after the start time. Otherwise the Tutor must refund the Tutor Fee.

5.14Tutors must be at the right location, or in the Online Classroom, on time. A late Tutor must show they contacted the Student and that the Student agreed to a later start; otherwise the Tutor must refund the Tutor Fee.

5.15Tutors must have working equipment for Online Lessons and must refund the Tutor Fee if they cannot join, unless the problem was caused by the Platform failing.

5.16Tutors must not complete coursework, exams or assessed assignments on a Student's behalf.

5.17All written communication with Students about arranging Lessons must take place on the Platform.

5.18Tutors agree that Lessons may be recorded, that Edmento may store and use recordings, and that recordings may be shared with the Student and their parent or guardian.

5.19Tutors will indemnify Edmento against claims, losses and costs arising from their use of the Platform.

5.20If we reasonably believe a Tutor has broken these Terms, we may bar them immediately and cancel their Bookings.

6. Payment

6.1The Lesson Fee is shown when you confirm a Booking, on your dashboard, in reminder emails and in payment receipts. We will post notice of any increase on the Platform.

6.2The Lesson Fee is made up of the Tutor Fee plus Edmento's Service Fee, which is a percentage added to the Tutor Fee. All prices are in pounds sterling (GBP) and include any applicable taxes.

6.3Payments are processed by our third-party payment provider (the "Payment Provider"). You authorise us to instruct it to charge your card about 24 hours after each Lesson ends. For late cancellations, payment may be taken sooner.

6.4If you raise a Complaint, the charge may still be taken as normal and refunded later if the Complaint is upheld.

6.5For Online Lessons, you will be charged in full if the Tutor was present in the Online Classroom for at least the first 15 minutes. You will not be charged if the Tutor did not attend.

6.6If you do not attend a Lesson that was not cancelled, you will be charged the full Lesson Fee.

6.7(Tutors) By using the Platform, Tutors agree to the Payment Provider's terms for connected accounts and authorise Edmento to share their information and transaction data with the Payment Provider.

6.8(Tutors) Tutor Fees are normally paid out within 9 days of a Lesson, once the Tutor has passed the Payment Provider's identity checks. Earnings may be held until those checks are complete.

7. Cancellations

7.1Students can cancel a Booking at any time before the Lesson starts, but only through the Platform. Cancelling by text, phone or other means may still result in a charge.

7.2Cancelling 24 hours or more before the start time is free.

7.3If you cancel less than 24 hours before the start, the Tutor decides whether to charge nothing, 50% or 100% of the Lesson Fee. Unless the Tutor tells us otherwise, we will charge 50% on their behalf.

7.4If you cancel less than 6 hours before the start and the Tutor charges 50% or nothing, a late cancellation handling fee of £5 applies, charged within 48 hours of the planned end time. No handling fee applies if the Tutor charges 100%, so you will never pay more than the Lesson Fee.

7.5Tutors may cancel a Booking any time before a Lesson, but must tell the Student through the Platform. If the Tutor cancels for their own reasons, the Student is not charged, or receives a full refund, and no handling fee applies.

7.6Lessons cannot be cancelled after they have started. Missed Lessons are charged in full, although the Tutor and Edmento may agree a refund in exceptional circumstances.

8. Referral credit

8.1A new user ("referee") receives credit once their account is created. The existing user who referred them ("referrer") receives credit once the referee attends their first paid Lesson.

8.2Referrers must already have an account; referees must be new to Edmento.

8.3No credit is given for free consultations, or if the referee books but does not attend. Credit already given in that case will be removed.

8.4Credit has no cash value, cannot be exchanged, and expires 3 months after it is issued.

8.5Users are responsible for any tax due on credit received.

8.6We may withhold or cancel credit, or suspend accounts, if we suspect misuse. Our decisions on credit are final. We may change or end the referral scheme at any time.

9. Missed Lessons and Complaints

9.1A Complaint is any request for a refund because of the Tutor's service, such as a Missed Lesson or a Lesson that fell below reasonable standards.

9.2Students should raise a Complaint by chat or email within 96 hours of the Lesson's scheduled end.

9.3We will notify the Tutor by email and SMS within 72 hours of receiving the Complaint.

9.4For Complaints raised in time, the Tutor has 48 hours to dispute it on the Platform. If they do not, we will, as the Tutor's agent, refund the Tutor Fee in full. We may also refund the Service Fee as a goodwill gesture. We will email the Student with the outcome.

9.5For Complaints raised late, the Tutor has 48 hours to agree to a refund. If they do not respond, the Complaint will be treated as rejected and we will tell the Student.

9.6If the Student and Tutor cannot resolve a Complaint, the Student may pursue a claim against the Tutor directly. Edmento is not liable for the Tutor's services.

9.7If a Missed Lesson was caused by Edmento failing to meet its obligations in clause 2, we will refund the Service Fee.

9.8We may, at our discretion, make a goodwill payment of up to the full Lesson Fee.

10. Satisfaction guarantee

10.1If you are unhappy with your first Lesson with your first Tutor, we will, as a goodwill gesture, pay you the lower of that Lesson's cost or the cost of a replacement Lesson, up to £100.

10.2To qualify, you must: (a) tell us by email or chat within 48 hours of the first Lesson ending, explaining why; (b) find, book, attend and pay for a Lesson with a different Tutor on the Platform within 12 months; and (c) contact us within 48 hours of that replacement Lesson ending.

10.3Both Lessons must be paid for before any guarantee payment. The guarantee applies once per Student, and we decide whether a claim is valid. We may refuse it if you have broken these Terms.

10.4Tutors are still paid their Tutor Fees for both Lessons.

11. Failed Payments

11.1A Failed Payment is a Lesson Fee that the Payment Provider could not collect from the Student's payment details.

11.2You authorise us to retry the charge automatically 48 and 72 hours after the Lesson ends, and at any other time you ask us to by chat, email or SMS.

11.3To protect Tutors, we may cancel any of a Student's Bookings, with any Tutor, while a Failed Payment is outstanding. If it is still unpaid 96 hours after the Lesson, we will cancel all future Bookings and tell the Tutor, who must not book further Lessons until it is paid.

11.4We may keep trying to collect the payment for up to 90 days by email, SMS or phone, and may pass unpaid Service Fees to a debt collection agency, which may affect your credit rating.

11.5(Tutors) Edmento is not liable for Tutor earnings lost through Failed Payments, although we may choose to make a goodwill payment.

12. Child protection

12.1We want the Platform to be a safe place for children to learn.

12.2Parents should not leave a child under 18 in the sole care of a Tutor.

12.3All Tutors must follow Edmento's Child Protection Policy and all relevant safeguarding laws and guidance.

12.4Report any safeguarding concern to us immediately at info@edmento.org or on +44 7858 932759. Concerns are handled by Edmento's designated Child Protection Officer.

13. Liability

13.1Nothing in these Terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot legally be limited.

13.2Please give us a reasonable chance to fix any problem before spending money fixing it yourself.

13.3We are not liable for loss or damage where we have not breached a legal duty, where the loss was not reasonably foreseeable, or where it was caused by you, for example by breaking these Terms.

13.4You are liable for reasonably foreseeable losses we suffer because you broke these Terms or misused the Platform.

13.5If you use the Platform for business purposes (including as a Tutor): (a) all terms not stated here are excluded to the extent the law allows; (b) our total liability for any event or series of related events is limited to the greater of £100 or the Service Fees you paid in the previous 12 months; (c) we are not liable for loss of profit, revenue, business, goodwill or data, or for indirect or consequential loss; (d) you will indemnify us against claims arising from your use of the Platform or breach of these Terms; and (e) these Terms are the entire agreement between us, and you have not relied on any other statement.

14. Group classes

14.1Students must be 18 or over, or registered by a consenting parent or guardian, to join a class.

14.2Classes can be cancelled free of charge up to 72 hours before the first session. Missed sessions are not refunded individually, and other refunds are at our discretion.

14.3Students and Tutors are responsible for their own equipment for online classes, and agree that class sessions may be recorded.

14.4(Tutors) We may cancel a class with 24 hours' notice before it starts. Tutors must give us 24 hours' notice if they cannot attend a session, follow the approved learning plan, and use only the Edmento classroom. We may withhold payment for classes that are not completed.

15. Content and intellectual property

15.1You are responsible for any content you upload, post or send on the Platform.

15.2By submitting content, you give Edmento a non-exclusive, royalty-free, perpetual licence to use, copy, adapt, publish and display it in connection with the Platform, including in marketing. You keep ownership of your content.

15.3You must not upload content that infringes anyone's rights, contains malware, creates privacy or security risks, is spam or unsolicited advertising, or is unlawful, abusive, harassing, obscene, hateful or otherwise objectionable.

15.4We may remove content, suspend or close accounts, and report matters to the authorities where content breaks this clause.

16. Changes to these Terms

16.1We may change these Terms by posting the new version on the Platform at least 14 days before it takes effect. If you keep using the Platform after that date, you accept the new Terms.

17. Governing law

17.1These Terms, and any dispute arising from them, are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If you are a consumer living in Scotland or Northern Ireland, you may also bring proceedings in your local courts.

17.2If any part of these Terms is found unenforceable, the rest remains in effect.
